I saw Ironman quite a while ago but I haven't seen any other Marvel or DC stuff.
Could I watch this as a stand alone movie or will there be too many references to previous Marvel movies?
Any help would be greatly appreciated. Thanks. -

There's a few minor side elements and/or references that might not be as clear/make sense if you haven't watched the likes of Captain America: The Winter Soldier, or Avengers: Age of Ultron.
But as I said, those are (IMO at least) minor elements, I don't think there's anything really major. You'll probably be okay watching it as a stand alone.

Agent Hill:
Then aliens invaded New York and were beaten back, by among others, a giant green monster, a costumed hero from the 40's. and a god.
Agent Ward:
I don't think Thor is technically a god.
Hill:
Wellyou haven't been near his arms.

Agreed - these films all have some references to each other but they're not vital to the story (direct sequels excepted).
So as long as you're aware of this and okay with it you'll be fine. This film especially given that the main story is introducing Ant-Man.
There may be moments where you might think "the way so-and-so said that it sounds like they're referring to something in the past" but if you're prepared for that and can easily dismiss it or store it away for when you eventually watch some of the other films, it won't hurt anything.
Marvel has been very (some say "too") cautious to make each project stand on its own.
Reading my signature constitutes admission that I am correct. (Too late)
